Legal Counsel – Corporate & Commercial Law

About the role

We are seeking an experienced Legal Counsel to provide strategic legal guidance to executive management for an international manufacturing client. The role involves overseeing a broad spectrum of corporate and commercial legal matters while driving compliance and risk mitigation across the organization.

Key responsibilities

• Provide strategic legal advice on commercial and corporate issues to senior leadership.
• Draft, review, and negotiate a wide range of commercial agreements and legal documents.
• Manage litigation, arbitration, mediation, and coordinate external law firms.
• Oversee corporate governance activities, including board and shareholder resolutions, registrations, and statutory compliance.
• Support M&A transactions, corporate restructuring, investments, and financing activities.
• Identify, assess, and mitigate legal risks to ensure business continuity.
• Lead compliance initiatives covering governance, competition law, data privacy, ethics, and regulatory requirements.
• Manage intellectual property matters and protect global legal interests.
• Develop legal policies, procedures, and standardized documentation.
• Drive continuous improvement and digitalisation within the legal function.
• Lead, coach, and develop the legal team, fostering a high‑performance culture.

Required profile

• Law degree and a valid Attorney‑at‑Law license.
• Extensive experience in corporate and commercial law.
• Previous leadership experience in multinational or international organisations (highly preferred).
• Strong knowledge of corporate governance, compliance, commercial contracts, and international legal frameworks.
• Experience supporting mergers & acquisitions, corporate restructuring, and cross‑border legal matters.
• Excellent stakeholder management and business partnering skills.
• Strong analytical thinking, commercial mindset, and problem‑solving capabilities.
• Fluent English.
