Senior Associate - Corporate, M&A & Capital Markets

About the role

An experienced lawyer is sought to lead the legal aspects of investment and corporate transactions and to advise on capital markets regulatory matters. The role acts as a trusted legal advisor to senior leadership and the investment team, manages external counsel and guides transactions from structuring through closing, while mentoring junior associates.

Key responsibilities

• Lead the legal workstreams of M&A transactions from initial structuring through signing and closing
• Draft, review and negotiate transaction documents such as SPAs, SHAs, term sheets, NDAs, disclosure letters and ancillary agreements
• Manage legal due diligence, coordinating with external counsel, financial advisors and internal teams, and prepare red-flag and summary reports
• Advise on capital markets matters under CMB regulations, including public offerings, issuances, takeover bids, material event disclosures and ongoing compliance
• Advise on Borsa Istanbul matters, including disclosure, insider information, related-party transactions and corporate governance
• Handle regulatory filings and approvals with the CMB, Competition Authority and other sector-specific authorities
• Advise on corporate governance, shareholder matters, general assemblies, board processes and group restructurings
• Support portfolio companies on corporate, contractual and regulatory issues and on post-closing integration
• Prepare legal sections of investment committee materials and board presentations
• Supervise and coordinate external law firms, and mentor and review the work of junior associates

Required profile

• Law degree (LL.B.) from a reputable university and admission to the Turkish bar; LL.M. or equivalent is a plus
• 7-10 years of post-qualification experience in corporate/M&A, ideally in a leading law firm; in-house or investment-side experience is a plus
• Proven track record of leading complex M&A transactions end to end
• Fluency in English and Turkish (written and spoken)

Required skills

• Strong working knowledge of Turkish capital markets legislation (Capital Markets Law No. 6362 and SPK communiqués), the Turkish Commercial Code and competition law fundamentals
• Experience with listed companies, public offerings or takeover and disclosure regimes is highly desirable; cross-border experience is a plus
• Strong drafting and negotiation skills, with commercial and risk-oriented judgment
• Ability to manage multiple transactions and deadlines independently
