Senior Associate - Banking & Finance Law

About the role

A growing finance and banking team in Istanbul is looking for a full-time associate with at least five years of relevant professional experience. The role advises lenders, borrowers and sponsors on banking and finance matters and supports domestic and cross-border financing transactions. An English law qualification or experience is highly beneficial.

Key responsibilities

• Advise domestic and international lenders, borrowers and sponsors on banking and finance matters, build client relationships and contribute to business development
• Support financing transactions such as bilateral and syndicated loans, acquisition finance, project finance and restructurings
• Draft, review and negotiate facility agreements, security documents and ancillary finance documents
• Prepare and negotiate security packages under Turkish law, including share pledges, commercial enterprise pledges, mortgages and assignments of receivables
• Conduct legal due diligence, prepare reports, conditions precedent checklists and manage signing and closing, including perfection and registration of security
• Advise on banking and financial regulatory matters and coordinate transaction processes with clients, counterparties and other advisors
• Research, write legal memoranda and opinions, and keep up to date with legal and regulatory developments

Required profile

• Bachelor's or master's degree in law and Turkish Bar Association membership
• At least five years of banking and finance experience, preferably at an international law firm or reputable local practice
• Experience in domestic and cross-border financing transactions, including loan documentation and security packages
• Knowledge of Turkish banking, security and financial regulation
• English law qualification preferred

• Strong drafting, negotiation and analytical skills
• Excellent written and spoken English; additional languages are an advantage
• Ability to manage multiple matters and deadlines in fast-paced transactions
• Commercial, practical and solution-oriented approach, with excellent communication skills
